Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles, and shall benefit and be binding upon the Parties hereto and their respective successors and assigns. Further, all actions or proceedings instituted by any Party relating to this Agreement shall be instituted in the appropriate court in Suffolk County, Massachusetts. The Parties do hereby waive all questions of personal jurisdiction or venue for the purpose of carrying out this provision.
Miscellaneous Provisions
If any provision(s) of the Terms of Use is held to be invalid, illegal or unenforceable, the remaining provisions shall be severable and enforceable. If a provision is excessively broad, such a provision shall be limited or reduced in scope so as to be enforceable.
The Terms of Use may not be assigned by you without ML’s prior written consent, however, the Terms of Use may be assigned by ML in its sole discretion.
